"I hope that today’s own-initiative report will be interpreted by the Commission in the way it was written by Parliament, because a directive on the transfer of company seats could have considerable negative effects on the rules on corporate codetermination. That applies not just to Germany, but throughout the European Union. The transfer of a company’s registered office could result in the loss of codetermination at corporate level. Transferring the company’s registered office to another country could allow the rules on corporate codetermination in Germany to be circumvented. At present, employees’ codetermination in a company is based on the Member State in which the company has its registered office. We are not talking about a nominal registered office; rather, the company must be registered where it actually has a genuine presence, such as business premises, employees, etc. In other words, it must have a genuine link with the state in which it is registered. We cannot allow the directive on transfers of company seats to be used to circumvent the rights of employees and creditors through the establishment of post-box offices abroad. If separation between the registered office and the administrative seat of a company is allowed, then social rights could effectively be eroded – and that is something we have to prevent. This can only work if the registered office of a company is in the country where it is actually based. That is the way to safeguard effectively the rights of employees in the European Union. I hope the Commission will safeguard social Europe, and the rights of its citizens, in its draft legislation."@en1
