"At a time when there is an upsurge in cross-border economic activities, the interconnection of business registers needs to be enhanced in order to improve transparency and legal certainty, as well as expand the European integration process. In addition, the administration of registers that are computerised, interconnected and subject to uniform regulations, with the aim of reducing the differences in managing them at national level, will produce a saving in terms of resources and time, especially when it comes to company seat transfers and restructuring operations, such as mergers and divisions involving companies from different Member States. Although Directive 2005/56/EC of the European Parliament and of the Council of 26 October 2005 on cross-border mergers of limited liability companies stipulates the obligation for registers to cooperate at cross-border level, in practice, there is still no cooperation and effective cross-border official communication speeding up the procedures and reducing the costs for companies operating in several countries."@en1
